Welcome to ICEO Technologies, a network where professionals (“Members”) can receive advice from selected experts (“Partners”) through the website https://www.iceo.io (“ICEO”).

 

The following Terms of Service (“Terms”) govern the use of the services (“Services”) offered by ICEO Technologies Srl, with registered office in Via Casele 16, Buja (Udine), 33030, Italy, VAT Code 03034980304 (the “Owner” or “we”) and apply to any individual accessing and using ICEO (the “User” or “you”).

 

We offer Services both to businesses and to individuals acting in the performance of their profession, as well as to consumers. Please read carefully these Terms. To allow complete understanding, singular and plural words are considered the same.

 

1. Eligibility

ICEO are intended solely for persons who are 18 or older. Any access to or use of ICEO by anyone under 18 is expressly prohibited. By accessing and using ICEO, you agree to (i) be bound by these Terms and (ii) that you are 18 years old or older and able to form legally binding contracts.

 

2. How it Works

ICEO is a platform that allows Users to access and use multiple Services. Specifically, ICEO allows Members to connect and schedule online meetings (“Meetings”) in order to receive information and advice from Partners. The Meetings consist in online calls in which Partner gives advice to the Member. We facilitate the access to Partners and provide related Services, such as dedicated support, performance reviews, meeting scheduling and call facilitation. You understand that we do not have control over the conduct nor responsibility for information or advice exchanged among Users.

 

3. Registration

To take advantage of the features of ICEO, the User shall register and provide, truthfully and completely, all data requested in the registration form and accept the privacy policy (http://www.iceo.io/privacy-policy) and this Terms.

 

The Users has the responsibility to keep login credentials. The login credentials shall be used exclusively by the User and cannot be transferred to third parties. The User undertakes to keep them confidential and to ensure that no third party has access to them. Should the User suspect or become aware of any improper use or disclosure, the User shall immediately inform the Owner.

 

4. Services

We offer subscription Services. The features and methods of subscription are detailed in ICEO. In order to subscribe, the User shall follow the procedure indicated in ICEO and provide the requested information and payment. The subscription fees shall be charged on the date of subscription and with the frequency of automatic renewal. Users can deactivate the renewal of the subscription at any time in ICEO or by sending a communication to the e-mail address member@iceo.io.

 

The Member during the registration can decide the type of Service. The offer consists in three types of subscription: monthly (for one month), quarterly (for three months), and annual (for twelve months). By choosing one of these subscriptions, the Member will be allowed to book Meetings with Partners. All the three types of subscription allow the Member to have unlimited Meetings with Partners during the duration of subscription. In order to ensure Partners’ time is respected, the Member can book a total of two Meetings at the same time (two in the queue); before proceeding with other bookings at least one Meeting must be completed. At the end of a Meeting, both Members and Partners can leave messages and feedback to participants in order to keep track of the relation and advice.

 

We offer also a feature to enable a Member to book and buy one single Meeting.

 

The purchase of the Services through ICEO are permitted only to Members.

 

5. Payments and Billing

For each Service the price mentioned is VAT excluded. During the payment, the VAT is calculated and added if required by law.

 

We reserve the right to change the price of the Services. It is understood that price changes shall in no case affect the contracts already concluded before such change.

 

ICEO uses third-party tools like Stripe for processing payments and does not enter in any way into contact with the payment data provided. Should these third-party tools deny payment authorisation, we cannot provide the Services and cannot be held responsible in any way.

 

The Member who intends to receive the invoice for the payment shall provide accurate information in ICEO. In this case, the Member declares that the information provided is true and releases the Owner from any liability in this regard. We will submit the electronic invoice after the payment within 12 days. For any Payment and billing information please contact member@iceo.io.

 

6. Account Cancellation

The registered User can interrupt the use of ICEO at any time and deactivate his account through ICEO interface or by sending a written communication to the e-mail address member@iceo.io.

 

In case of violation by the User of the Terms or of the applicable legal provisions, we reserve the right to suspend or close the User's account at any time and without notice.

 

7. Cooling-Off Period

Members have the right to withdraw from the Terms within 14 days from registration and acceptance of the Terms. Within the cooling-off period, Member is entitled to receive a full refund. The Member acknowledges and accepts that the withdrawal does not entail the return of the amount paid when Meetings with Partners have already been completed.

 

To exercise this right, the Member must send a written communication by e-mail to member@iceo.io with the same email used for registering in the platform. To accelerate the process, Member may write in the email subject "Right to withdraw" and include in the body of the email the registration date and the personal information provided during registration.

 

We will refund the Member within 14 days of the withdrawal written communication.

 

8. Attendance Policy

We promote an environment in which the time of everybody is respected. This is why Users not able to attend a Meeting should try to reschedule the Meeting within at least 12 hours in advance. In the event of major attendance issues impacting the time of other Users, we reserve the right to suspend a User’s Account.

 

9. User Content

We are very keen to match Member with the most aligned Partners and to provide an accurate portrayal of the experience, knowledge and skills of Partners. We hope and anticipate that any services you buy are to your expectations.

 

In the unlikely event you feel that a service was not delivered in accordance with your expectations, or, in case you notice any omissions or inaccuracies on our website relating to our services descriptions, availability or promotions, please contact us in order to resolve the issue at member@iceo.io.

 

The material on our website is provided for consideration and as general information, and it may include historical information. While we endeavour to ensure the majority of our content is current, complete and accurate we are not responsible for inaccurate, incomplete or out of date material.

 

10. User Conduct

We welcome and encourage you to provide feedback, comments and suggestions for improvements to our website and Services.

 

If you post comments on our website, you agree that these do not violate any rights of third-parties. We take no responsibility and assume no liability for any comments posted by you or any third-party.

 

You are not allowed to use our website for any unlawful purpose or to solicit others to take part in any unlawful activities derived from international or jurisdictional regulations. Harassment, intimidation, or insults are not permitted. You may not transmit or upload any virus or other malware that could in any way affect the operation of our Services or to spam, phish, scrape or crawl. We endeavour, but have no obligation to, monitor, edit or remove inappropriate content.

 

11. Limitation of liability

We will endeavour to ensure that ICEO is available continuously 24 hours a day, but cannot in any way be held responsible if, for any reason, ICEO is not accessible and / or operational at any time or for any period. Access to ICEO may be suspended temporarily and without notice in the event of system failure, maintenance, repairs or for reasons wholly unrelated to the Owner's will or due to force majeure events. We shall not be held liable towards the User for damages, losses and costs incurred by the User as a result of failure to execute the Terms.

 

We assume no responsibility for any fraudulent or illegal use that may be made by third payment parties like Stripe, since we do not enter in any way in contact with the payment data used.

 

In no case shall we and the Partners held liable for any injuries, losses, claims, or any direct, indirect, incidental or consequential damages of any kind arising from the use of the Services. You agree to hold us and the Partners harmless from and against any claims, liabilities, damages, losses, and expenses, arising out of or in any way connected with our Services and the Partners.

 

12. Amendments to ICEO and the Terms

User understand that from time to time we may change the graphic interface of ICEO, as well as any other feature that characterises the functionality and management of ICEO.

 

We reserve the right to update, amend or replace any part of the Terms, and is your responsibility to check our website for changes at www.iceo.io/terms-of-service.

14. Applicable law and jurisdiction

These Terms provided to Users are governed by Italian law, and any dispute arising from the interpretation, application and execution of these Terms, the Italian Court of Udine shall have jurisdiction.
